Clear, fair terms for doing business with Pallets Resale
1. Agreement to Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you ("you" or "Customer") and Pallets Resale ("we," "us," or "Company"), a pallet resale business based in Tampa, Florida, United States. These Terms govern your use of our website at palletsresale.com (the "Site") and the purchase of our products and services.
By accessing our Site, placing an order, or engaging our services, you agree to be bound by these Terms. If you do not agree to these Terms, you must not use our Site or services. We reserve the right to update or modify these Terms at any time, and your continued use of the Site following any changes constitutes acceptance of those changes.
2. Products and Services
Pallets Resale provides the following products and services:
- Pallet sales: New and used wood pallets, plastic pallets, metal pallets, and specialty pallets in various sizes and grades.
- Pallet purchasing: We buy used pallets from businesses and individuals.
- Pallet recycling: Collection, sorting, and recycling of used and damaged pallets.
- Pallet repair: Professional repair and reconditioning services for damaged pallets.
- Transportation: Delivery and pickup logistics for pallet orders and recycling.
- Heat treatment: ISPM-15 compliant heat treatment for pallets used in international shipping.
- Custom manufacturing: Custom pallet design and manufacturing to specific requirements.
All products and services are subject to availability. We reserve the right to discontinue or modify any product or service at any time without prior notice.
3. Products and Services Description
Pallets Resale offers a comprehensive range of pallet products and related services as described below. All products and services are subject to availability and may vary by location. We reserve the right to modify, discontinue, or introduce new products and services at any time.
Recycled Pallet Sales
We sell recycled wood pallets in multiple grades (Grade A, Grade B, and Grade C) and standard sizes including 48x40 inches (GMA standard), 42x42 inches, 48x48 inches, and 48x20 inches (half-pallets). All recycled pallets are inspected and graded at our facility. Grade designations are based on industry-standard criteria for structural integrity, cosmetic condition, and overall usability. Photographs and detailed grade descriptions are available on our website and upon request.
Pallet Purchasing
We purchase used pallets from businesses and individuals. Pricing for purchased pallets is determined based on condition, size, quantity, and current market rates. Pallet purchase prices are quoted at the time of inquiry and are subject to change based on market conditions. We reserve the right to reject pallets that do not meet our minimum condition requirements upon inspection at the time of pickup or delivery to our facility.
Recycling and Disposal Services
We provide pallet recycling services including collection, sorting, dismantling, and material recovery for pallets that have reached end of life. Recyclable materials are recovered for reuse in pallet repair, mulch production, biomass fuel, and other wood products. We aim to minimize landfill waste and maximize material recovery from all pallets we process.
Pallet Repair Services
Our repair services extend the usable life of damaged pallets. Common repairs include replacing broken deck boards, reinforcing or replacing damaged stringers, re-nailing loose components, and trimming protruding nails. Repair pricing is provided on a per-pallet or per-project basis depending on the scope of work. Repaired pallets are re-graded and must meet our quality standards before being returned to the customer or placed back into inventory.
Heat Treatment (ISPM-15)
We operate an ISPM-15 certified heat treatment kiln at our Tampa facility. Heat treatment services ensure wood pallets meet the International Standards for Phytosanitary Measures No. 15, which is required for wood packaging materials used in international trade. Each treated pallet receives the appropriate IPPC stamp. Treatment records and certificates of compliance are provided upon request. Our heat treatment program is audited regularly by the American Lumber Standard Committee (ALSC).
Limitations
Product images on our website are representative and may not exactly match the specific pallets you receive, as recycled pallets are natural products with inherent variations. Weight capacities and load ratings provided are estimates based on standard usage conditions and may vary based on load distribution, handling practices, and environmental conditions. We recommend consulting with our team for applications requiring precise specifications or load engineering.
4. Pricing and Payment Terms
Pricing Structure
Pallets Resale uses a transparent pricing structure based on pallet grade, size, quantity, and delivery location. Per-pallet prices are quoted in US Dollars (USD) and do not include applicable sales tax, delivery fees, or fuel surcharges unless explicitly stated. Delivery and transportation fees are calculated separately based on order size, weight, and distance from our facility or the nearest distribution point.
Price Adjustments
Pallet pricing is influenced by lumber market conditions, regional supply and demand, seasonal factors, and transportation costs. We reserve the right to adjust pricing to reflect changes in these market conditions. For customers on recurring supply agreements, price adjustments will be communicated at least 15 days in advance. Existing confirmed orders will not be subject to retroactive price increases.
Volume Discounts
We offer volume-based pricing tiers for bulk orders. Discount levels are determined by order quantity, frequency, and annual volume commitment. Specific volume pricing is available upon request and may be formalized through a supply agreement. Volume discounts apply to the pallet price only and do not extend to delivery fees or surcharges unless separately agreed.
Accepted Payment Methods
We accept the following payment methods: credit cards (Visa, Mastercard, American Express, Discover), ACH bank transfers, wire transfers, company checks (for approved credit accounts only), and cash for in-person transactions at our Tampa facility. All electronic payments are processed through PCI-DSS compliant payment processors. We do not store complete credit card numbers on our systems.
Credit Terms
New customers are required to prepay unless credit terms have been approved. To apply for credit terms, customers must complete a credit application and provide trade references. Approved accounts may receive Net 15, Net 30, or Net 45 terms depending on creditworthiness and order volume. Credit limits are established at the time of approval and reviewed periodically. We reserve the right to modify or revoke credit terms at any time based on payment history or changes in creditworthiness.
Late Payments and Collections
Invoices not paid by the due date are subject to a late payment fee of 1.5% per month (18% per annum) on the outstanding balance. Accounts that are more than 30 days past due may be placed on credit hold, which will suspend processing of new orders until the balance is brought current. Accounts that are more than 90 days past due may be referred to a third-party collections agency. The Customer is responsible for all collection costs, including reasonable attorney fees, incurred in the recovery of overdue amounts.
5. Quotes, Orders, and Acceptance
Quotes
All quotes provided by Pallets Resale are estimates based on the information provided at the time of inquiry. Quotes are valid for 7 calendar days from the date of issue unless otherwise stated. Pricing may be adjusted based on changes in lumber market conditions, availability, quantity adjustments, or other factors. Final pricing is confirmed at the time of order placement.
Order Acceptance
Submitting an order request does not guarantee acceptance. All orders are subject to our review and confirmation. An order is considered accepted only when we provide written confirmation (via email or other written communication). We reserve the right to refuse any order at our discretion, including but not limited to cases where products are unavailable, pricing errors have occurred, or we are unable to verify customer information.
Pricing
All prices are quoted in US Dollars (USD) and are exclusive of applicable taxes, delivery fees, and surcharges unless expressly stated otherwise. Delivery and transportation fees are calculated separately based on order size, weight, and delivery distance. We will provide a complete cost breakdown before finalizing any order.
4. Payment Terms
Payment terms are established at the time of order confirmation and may vary based on customer type and order size:
- New customers: Payment is due in full prior to shipment unless credit terms have been approved.
- Established accounts: Net 30 payment terms may be available upon credit approval. A credit application must be completed and approved before extended terms are granted.
- Large orders: For orders exceeding $10,000, a deposit of 50% may be required at the time of order placement, with the balance due upon delivery.
We accept the following payment methods: credit cards (Visa, Mastercard, American Express), ACH bank transfers, wire transfers, and company checks (for approved accounts only).
Late payments are subject to a finance charge of 1.5% per month (18% per annum) on the outstanding balance. We reserve the right to suspend services and future orders for accounts with overdue balances. Collection costs, including reasonable attorney fees, incurred due to non-payment will be the responsibility of the Customer.
5. Delivery and Transportation
Delivery dates provided are estimates and not guarantees. While we make every effort to meet estimated delivery schedules, we are not liable for delays caused by factors beyond our reasonable control, including but not limited to weather conditions, traffic, mechanical issues, carrier delays, or force majeure events.
The Customer is responsible for providing accurate delivery information, including complete address, contact person, and any special delivery instructions. The Customer must ensure that the delivery location is accessible for our delivery vehicles and equipment. If a delivery cannot be completed due to inaccurate information or inaccessible location, additional delivery fees may apply.
Risk of loss and title to products passes to the Customer upon delivery to the specified location. The Customer should inspect all products upon delivery and report any damage, defects, or discrepancies within 48 hours of receipt. Claims reported after this period may not be honored.
6. Product Quality and Warranties
All pallets are sold according to their designated grade (Grade A, Grade B, or Grade C) as described on our website and in product documentation. Used pallets are sold "as graded" and may show signs of normal use appropriate to their grade classification. We make every effort to ensure accurate grading, but minor variations are inherent in used products.
We warrant that our pallets meet the specifications stated for their grade at the time of delivery. For heat-treated pallets, we warrant compliance with ISPM-15 standards at the time of treatment. This warranty does not cover damage resulting from misuse, improper handling, overloading beyond rated capacity, exposure to extreme conditions, or normal wear and tear after delivery.
EXCEPT AS EXPRESSLY STATED HEREIN, ALL PRODUCTS AND SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
7. Returns and Refunds
Due to the nature of our products, returns are handled on a case-by-case basis. The following general policies apply:
- Defective or misgraded products: If products do not match the confirmed grade or specifications, contact us within 48 hours of delivery. We will arrange for replacement or provide a credit/refund at our discretion.
- Damaged during delivery: Report delivery damage within 48 hours. We will work with you to resolve the issue, which may include replacement, credit, or refund.
- Change of mind: Returns for reasons other than quality or damage issues are not guaranteed. If we agree to accept a return, a restocking fee of 15-25% may apply, and the Customer is responsible for return transportation costs.
- Custom orders: Custom-manufactured pallets are non-returnable and non-refundable unless they fail to meet the agreed-upon specifications.
All returns must be authorized in advance. Do not return products without first contacting us and receiving a Return Authorization. Refunds, when issued, will be processed within 14 business days of receiving the returned products or resolving the claim.
8. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, PALLETS RESALE AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF DATA, BUSINESS INTERRUPTION, OR LOSS OF GOODWILL, ARISING OUT OF OR IN CONNECTION WITH THE USE OF OUR SITE, PRODUCTS, OR SERVICES, REGARDLESS OF THE THEORY OF LIABILITY.
OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS, OUR PRODUCTS, OR OUR SERVICES SHALL NOT EXCEED THE TOTAL AMOUNT PAID BY THE CUSTOMER FOR THE SPECIFIC PRODUCTS OR SERVICES GIVING RISE TO THE CLAIM.
These limitations apply even if we have been advised of the possibility of such damages. Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you.
9. Indemnification
You agree to indemnify, defend, and hold harmless Pallets Resale and its officers, directors, employees, and agents from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorney fees) arising out of or relating to: (a) your use of our Site or services; (b) your breach of these Terms; (c) your misuse or improper handling of our products; or (d) your violation of any applicable law or regulation.
10. Intellectual Property
All content on our Site, including text, graphics, logos, images, and software, is the property of Pallets Resale or its content suppliers and is protected by United States and international copyright, trademark, and other intellectual property laws. You may not reproduce, distribute, modify, create derivative works from, publicly display, or commercially exploit any content from our Site without our prior written consent.
11. Dispute Resolution
Any dispute, claim, or controversy arising out of or relating to these Terms or the breach, termination, enforcement, interpretation, or validity thereof, including the determination of the scope or applicability of this agreement to arbitrate, shall first be attempted to be resolved through good-faith negotiation between the parties.
If a dispute cannot be resolved through negotiation within 30 days, either party may initiate binding arbitration administered by the American Arbitration Association (AAA) in accordance with its Commercial Arbitration Rules. The arbitration shall take place in Hillsborough County, Florida, unless both parties agree to a different location. The arbitration shall be conducted by a single arbitrator, and the decision of the arbitrator shall be final and binding.
Notwithstanding the foregoing, either party may seek injunctive or equitable relief in any court of competent jurisdiction to protect its intellectual property rights or confidential information.
12. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Florida, United States, without regard to its conflict of law provisions. Any legal action or proceeding not subject to arbitration shall be brought exclusively in the state or federal courts located in Hillsborough County, Florida.
13. Force Majeure
Pallets Resale shall not be liable for any failure or delay in performing our obligations under these Terms if such failure or delay results from circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, pandemics, government actions, war, terrorism, civil unrest, labor disputes, supply chain disruptions, fire, flood, or power outages.
14. Order Terms and Conditions
Order Minimums
We do not impose minimum order quantities for standard pallet sizes in stock. However, for custom-manufactured pallets, a minimum order may apply depending on the complexity and materials required. Minimum order quantities for custom orders, if any, will be communicated at the time of quotation.
Order Modifications
Order modifications (changes to quantity, size, grade, or delivery schedule) may be requested by contacting us as soon as possible after order placement. We will make every effort to accommodate modifications, but changes may not be possible once production, packing, or shipment has begun. Any modifications that affect pricing will be communicated and must be approved before the order proceeds.
Order Cancellation
Orders for standard in-stock products may be cancelled without charge if the cancellation request is received before the order has been dispatched. Once dispatched, cancellation is subject to the return and refund policies described in Section 7. Custom-manufactured orders may be cancelled before production begins, but a cancellation fee equal to the cost of materials already procured may apply. Custom orders cannot be cancelled once production has commenced.
Recurring Orders
We offer recurring order agreements for businesses with regular pallet needs. Recurring order terms, including pricing, delivery schedules, and volume commitments, are established through a separate supply agreement. Either party may terminate a recurring order agreement with 30 days written notice, unless otherwise specified in the supply agreement.
15. Delivery and Shipping Terms
Delivery Methods
We offer delivery via our own fleet, third-party carriers, or customer pickup depending on order size, location, and customer preference. Our fleet services most metropolitan areas within our facility network. For locations outside our direct delivery range, we partner with reputable freight carriers and LTL (Less-Than-Truckload) providers.
Shipping Terms (FOB)
Unless otherwise agreed in writing, all shipments are FOB Origin (Free on Board, Origin), meaning title and risk of loss transfer to the Customer when the products are tendered to the carrier at our facility. If delivery is made by our own fleet, title and risk of loss transfer upon physical delivery to the Customer's specified location. International shipments may be subject to different trade terms (such as CIF, DAP, or DDP) as agreed upon in the order confirmation.
Delivery Scheduling
We offer flexible delivery scheduling including standard delivery (3-5 business days), expedited delivery (1-2 business days, subject to availability and additional fees), and scheduled delivery within a customer-specified window. Delivery appointments are available for facilities that require them. The Customer must provide at least 24 hours notice to reschedule a confirmed delivery appointment. Missed delivery appointments due to Customer unavailability may result in a redelivery fee.
Inspection Upon Receipt
The Customer is responsible for inspecting all products upon delivery. The delivery receipt should note any visible damage, shortage, or discrepancies. Signing the delivery receipt without notation constitutes acknowledgment that the shipment was received in apparent good condition. As stated in Section 5, any claims for damage, defects, or shortages must be reported within 48 hours of delivery to be eligible for resolution.
16. Return and Refund Policy (Detailed)
Eligible Returns
Products may be returned under the following circumstances: (a) the products do not match the confirmed grade or specifications; (b) the products were damaged during delivery and the damage was reported within 48 hours; (c) the wrong products were shipped. Products returned for these reasons will be replaced or refunded at our discretion, and we will cover return transportation costs.
Non-Eligible Returns
The following items are generally not eligible for return: custom-manufactured pallets built to your specifications; pallets that have been used, modified, or damaged after delivery; pallets returned without prior authorization; products where the claim was submitted more than 48 hours after delivery. We reserve the right to make exceptions on a case-by-case basis.
Restocking Fees
If we agree to accept a return for reasons other than our error (such as a change of mind or overordering), a restocking fee of 15% to 25% of the order value may apply. The specific restocking fee will be communicated before the return is authorized. The Customer is responsible for all return transportation costs in these cases.
Refund Processing
Refunds are processed within 14 business days of the return being received and inspected (or the claim being resolved, if replacement is not required). Refunds are issued to the original payment method. For credit card payments, please allow an additional 5-10 business days for the refund to appear on your statement. For check payments, refund checks are mailed within 14 business days. Store credits or account credits may be offered as an alternative to cash refunds and do not expire.
17. Warranty Information
Limited Product Warranty
Pallets Resale warrants that all products delivered will conform to the grade, specifications, and description provided in the order confirmation at the time of delivery. For new pallets, we warrant that the products are free from defects in materials and workmanship for a period of 90 days from the date of delivery. For used/recycled pallets, our warranty covers conformance to the stated grade at the time of delivery only.
Heat Treatment Warranty
For pallets sold as ISPM-15 heat-treated, we warrant that the heat treatment was performed in accordance with ISPM-15 requirements at the time of treatment, and that each treated pallet bears the appropriate IPPC mark. This warranty does not extend to pallets that have been repaired with untreated wood after our original treatment, or pallets that have had treatment marks removed or obscured after delivery.
Warranty Exclusions
This warranty does not cover: damage resulting from misuse, overloading beyond rated capacity, improper storage, exposure to extreme weather, or normal wear and tear; damage caused by equipment malfunction (such as forklift abuse); natural wood characteristics including minor checking, warping, or color variation; pallets used for purposes not consistent with their grade designation; or damage occurring after delivery due to third-party handling.
Warranty Claims
To make a warranty claim, contact us within the applicable warranty period with your order number, a description of the issue, and photographs of the affected products. We will review your claim within 5 business days and, if approved, arrange for replacement, credit, or refund at our discretion. Our total liability under this warranty shall not exceed the original purchase price of the affected products.
18. Detailed Limitation of Liability
IN ADDITION TO THE LIMITATION OF LIABILITY STATED IN SECTION 8, THE FOLLOWING ADDITIONAL LIMITATIONS APPLY:
PALLETS RESALE SHALL NOT BE LIABLE FOR ANY LOSSES ARISING FROM: (A) THE CUSTOMER'S FAILURE TO INSPECT PRODUCTS UPON DELIVERY OR TO REPORT DEFECTS WITHIN THE REQUIRED 48-HOUR PERIOD; (B) THE CUSTOMER'S USE OF PRODUCTS IN A MANNER INCONSISTENT WITH THEIR GRADE DESIGNATION OR RATED CAPACITY; (C) DELAYS IN DELIVERY CAUSED BY FACTORS OUTSIDE OUR REASONABLE CONTROL; (D) THE ACTIONS OR OMISSIONS OF THIRD-PARTY CARRIERS OR LOGISTICS PROVIDERS SELECTED BY THE CUSTOMER; (E) CONSEQUENTIAL DAMAGES ARISING FROM THE CUSTOMER'S INABILITY TO USE THE PRODUCTS, INCLUDING BUT NOT LIMITED TO PRODUCTION DELAYS, LOST SALES, OR PENALTIES IMPOSED BY THE CUSTOMER'S OWN CUSTOMERS.
IN NO EVENT SHALL OUR AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO A SINGLE ORDER EXCEED THE TOTAL AMOUNT PAID BY THE CUSTOMER FOR THAT SPECIFIC ORDER. IN NO EVENT SHALL OUR AGGREGATE LIABILITY FOR ALL CLAIMS ARISING WITHIN A TWELVE-MONTH PERIOD EXCEED THE TOTAL AMOUNT PAID BY THE CUSTOMER TO PALLETS RESALE DURING THAT TWELVE-MONTH PERIOD.
The parties agree that the limitations of liability set forth in these Terms reflect a fair and reasonable allocation of risk and form an essential basis of the bargain between the parties. These limitations shall apply notwithstanding the failure of the essential purpose of any limited remedy provided herein.
19. Force Majeure (Detailed)
Neither party shall be liable for any failure or delay in performing its obligations under these Terms if such failure or delay results from a Force Majeure Event. A "Force Majeure Event" means any event or circumstance beyond the reasonable control of the affected party, including but not limited to:
- Acts of God, including earthquakes, hurricanes, tornadoes, floods, droughts, wildfires, or other natural disasters
- Epidemics, pandemics, or public health emergencies
- War, armed conflict, terrorism, riots, civil unrest, or insurrection
- Government actions, sanctions, embargoes, or trade restrictions
- Labor disputes, strikes, lockouts, or work stoppages (whether or not involving our employees)
- Supply chain disruptions, including shortage of raw materials, lumber supply constraints, or transportation infrastructure failures
- Fire, explosion, or major equipment failure at our production or warehouse facilities
- Power outages, internet service disruptions, or telecommunications failures
- Severe weather events that prevent safe transportation or operations
The affected party shall give prompt written notice to the other party of the Force Majeure Event, including a description of the event, its expected duration, and the obligations affected. The affected party shall use commercially reasonable efforts to mitigate the impact of the Force Majeure Event and resume performance as soon as practicable.
If a Force Majeure Event continues for more than 60 consecutive days, either party may terminate the affected order(s) without liability by providing written notice. In such case, the Customer shall be entitled to a refund of any amounts paid for products not yet delivered.
20. Dispute Resolution (Detailed)
Step 1: Direct Negotiation
In the event of any dispute arising out of or relating to these Terms, the products, or services provided by Pallets Resale, the parties agree to first attempt to resolve the dispute through direct, good-faith negotiation. The party raising the dispute shall provide written notice to the other party describing the nature of the dispute and the relief sought. The parties shall have 30 calendar days from receipt of the notice to resolve the dispute through negotiation.
Step 2: Mediation
If the dispute cannot be resolved through direct negotiation within 30 days, either party may request mediation. Mediation shall be conducted by a mutually agreed-upon mediator, or if the parties cannot agree, by a mediator selected by the American Arbitration Association (AAA). Mediation shall take place in Hillsborough County, Florida, unless both parties agree to a different location. The costs of the mediator shall be shared equally between the parties, and each party shall bear its own legal fees and costs during mediation.
Step 3: Binding Arbitration
If mediation does not resolve the dispute within 60 days, either party may initiate binding arbitration administered by the AAA in accordance with its Commercial Arbitration Rules. The arbitration shall take place in Hillsborough County, Florida. The arbitration shall be conducted by a single arbitrator with experience in commercial disputes. The arbitrator's decision shall be final and binding on both parties and may be entered as a judgment in any court of competent jurisdiction. The prevailing party in arbitration shall be entitled to recover its reasonable attorney fees and costs from the non-prevailing party.
Class Action Waiver
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, YOU AND PALLETS RESALE EACH WAIVE THE RIGHT TO PARTICIPATE IN A CLASS ACTION, COLLECTIVE ACTION, OR OTHER REPRESENTATIVE PROCEEDING. ANY DISPUTE SHALL BE RESOLVED ON AN INDIVIDUAL BASIS ONLY. This class action waiver is an essential part of this arbitration agreement and cannot be severed from it.
Small Claims Exception
Notwithstanding the above, either party may bring a claim in small claims court (or equivalent) if the claim falls within the court's jurisdictional limits. Additionally, either party may seek injunctive or equitable relief in any court of competent jurisdiction to protect its intellectual property rights, confidential information, or to prevent irreparable harm.
21. Severability
If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect. The invalid or unenforceable provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving its original intent.
22. Modifications to Terms
Pallets Resale reserves the right to modify, amend, or update these Terms of Service at any time at our sole discretion. When we make changes to these Terms, we will take the following steps:
- Update notification: We will update the "Last updated" date at the top of this page to reflect the date of the most recent revision.

Any specific terms agreed upon in a written supply agreement, purchase order, or other signed contract between you and Pallets Resale will take precedence over these general Terms of Service to the extent of any conflict, but only for the specific transaction or relationship covered by that agreement.
23. Compliance with Laws
Both Pallets Resale and the Customer agree to comply with all applicable federal, state, and local laws, regulations, and ordinances in connection with the use of our website and the purchase, sale, delivery, and use of our products and services. This includes but is not limited to:
- Environmental regulations: Compliance with regulations governing wood waste disposal, recycling, emissions, and environmental protection applicable to pallet handling and processing in your jurisdiction.
- Transportation regulations: Compliance with Department of Transportation (DOT) rules governing the loading, securing, and transport of pallet products on public roadways.
- International trade regulations: For heat-treated pallets used in export, compliance with ISPM-15, US customs regulations, and the import requirements of the destination country.
- Workplace safety: Compliance with OSHA and applicable state workplace safety regulations related to the handling, storage, and use of pallets in your facility.
- Tax obligations: The Customer is responsible for the payment of all applicable sales, use, and excise taxes imposed on the purchase of products and services from Pallets Resale, unless a valid tax exemption certificate is provided.
The Customer agrees not to use Pallets Resale products or services for any unlawful purpose or in any manner that violates applicable regulations. Pallets Resale shall not be liable for any fines, penalties, or damages resulting from the Customer's failure to comply with applicable laws.
24. Confidentiality
In the course of our business relationship, either party may receive or have access to confidential information belonging to the other party. Confidential information includes, but is not limited to, pricing terms, volume commitments, proprietary processes, customer lists, business strategies, and any information marked or reasonably understood to be confidential.
Each party agrees to hold the other party's confidential information in strict confidence and not to disclose it to any third party without prior written consent, except as required by law, court order, or legal process. Confidential information may only be used for the purpose of fulfilling obligations under these Terms and the business relationship between the parties.
This confidentiality obligation survives the termination of these Terms and any business relationship between the parties for a period of two (2) years. Information that becomes publicly available through no fault of the receiving party, was already known to the receiving party prior to disclosure, or is independently developed without reference to the disclosing party's confidential information is excluded from these obligations.
25. Entire Agreement
These Terms, together with our Privacy Policy and any specific order confirmations or agreements, constitute the entire agreement between you and Pallets Resale regarding the subject matter herein. These Terms supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, regarding such subject matter.
